21-Day Challenge - Terms and Conditions
These 21-Day Challenge Terms and Conditions (the "Terms") are entered into between: (1) B2B Growth Hub Limited, a company incorporated under the laws of England and Wales, with its registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ (the "Company"); and (2) [Partner Name], residing at [address to be confirmed] (the "Partner"). Together referred to as the "Parties". These Terms set out the basis on which the Partner is engaged in the current 21-Day cohort · a 21-working-day programme running from [to be confirmed] to [to be confirmed] · and form a time-limited engagement, not a contract of employment. The Partner is strongly advised to read them carefully before signing.

1. Nature of the Engagement
1.1The Company engages the Partner as a 21-Day Challenge Growth Partner for the duration of the current 21-Day cohort, from [to be confirmed] to [to be confirmed] inclusive (the "Engagement Period"). The Engagement Period is fixed at 21 working days (Monday to Friday, excluding public holidays).
1.2This is not a contract of employment. Nothing in these Terms creates an employer-employee relationship, an agency, a partnership or a joint venture between the parties. The Partner is engaged as an independent contributor for a defined and time-boxed programme.
1.3The Partner is not entitled to holiday pay, sick pay, pension contributions or any other employment benefits. The Partner is responsible for their own tax and national-insurance obligations arising from any payments made under these Terms.
2. Scope of Work
2.1The Partner shall represent the full B2B Growth Hub product portfolio to the businesses assigned to them by the Company during the Engagement Period. This includes: (a) the supplier programme, (b) exhibition stand bookings, (c) exhibition sponsorships, (d) award-night packages, and (e) annual magazine advertising placements.
2.2The Partner shall follow the daily playbook provided by the Company. On each working day of the Engagement Period the Partner shall target the following key performance indicators (KPIs): 100 leads, 30 qualifying conversations, 15 opportunities, and 4 conversions, contributing an average of £500 of value per working day.
2.3The KPI targets in clause 2.2 are stated as the design goal of the programme, not a guaranteed level of performance. The Partner is expected to work in good faith towards them; the Company is not entitled to any remedy purely on the basis of a shortfall against the targets.
3. Payment and Commission
3.1The Partner's compensation under these Terms is entirely performance-linked. Performance-linked earnings across the B2B Growth Hub product portfolio (supplier connections, exhibition stands, sponsorships, award-night packages and annual magazine advertising). Specific commission rates for each product line are walked through during onboarding. Cohort-specific rewards for the Momentum, Conversion and Revenue phases are set out in Appendix A to these Terms; the Individual Performance Bonus for ongoing sales activity is set out in Appendix B; the Team Performance Bonus is set out in Appendix C.
3.2No income is guaranteed. The Company makes no representation that the Partner will earn any particular amount during or after the Engagement Period. Payments shall be made only in respect of conversions attributed to the Partner in accordance with the Company's tracking rules, which shall be shared in writing at the start of the Engagement Period.
3.3The Company shall pay the Partner any commission earned within thirty (30) days of the end of the calendar month in which the underlying deal was received and confirmed by the Company. Payments shall be made in pounds sterling to the bank account nominated by the Partner.
4. Confidentiality and Data
4.1The Partner acknowledges that during the Engagement Period they shall have access to confidential information including but not limited to buyer briefs, supplier lists, pricing schedules, playbooks, and personal data of the Company's customers, contacts and suppliers.
4.2The Partner shall keep all such confidential information strictly confidential during and after the Engagement Period, shall use it solely for the purpose of performing these Terms, and shall not disclose it to any third party without the Company's prior written consent. This obligation of confidentiality shall survive the termination or expiry of these Terms indefinitely.
4.3The Partner shall process any personal data accessed under these Terms strictly in accordance with the Company's data-protection policies and applicable law (including the UK GDPR).
5. Intellectual Property
5.1All materials, playbooks, templates, tracker sheets, brand assets and other intellectual property provided by the Company remain the sole property of the Company. The Partner is granted a limited, non-transferable licence to use them for the duration of the Engagement Period.
5.2All right, title and interest in any content, data, communications or records produced by the Partner in the course of representing the Company's products under these Terms (including outreach messages, tracker entries and pipeline data) shall vest in the Company automatically upon creation. The Partner hereby assigns to the Company, with full title guarantee, all such intellectual property rights.
6. Termination
6.1Either party may terminate these Terms at any time by giving written notice to the other. There is no minimum notice period during the 21-working-day Engagement Period; termination takes effect on receipt.
6.2On termination or expiry of the Engagement Period, the Partner shall promptly (and in any event within seven (7) days) return or destroy (at the Company's option) all Company property and confidential information in their possession, and shall immediately cease to represent the Company's products.
6.3Any commission that has been earned but not yet paid at the point of termination remains payable in accordance with clause 3.3. No further compensation is owed on termination or expiry.
7. General
7.1These Terms (together with their Appendices) constitute the entire agreement between the parties in respect of the Engagement Period and supersede any prior discussions, representations, understandings or agreements between the parties on the same subject matter. Any variation of these Terms shall be in writing and signed by both parties.
7.2These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales.
7.3Execution and electronic signature. The parties execute these Terms electronically. Each electronic signature — including a typed full name and a captured signature image — is legally valid, binding and enforceable, and has the same legal effect as a handwritten wet-ink signature. These Terms are signed in counterparts through the Company's secure signing portal, with each party applying their signature separately; these Terms become fully executed and legally binding on the date the second (counter-)signature is applied, which shall be the effective date of execution. A digital audit trail is captured automatically alongside each signature (including the signer's typed name, IP address, browser user agent and precise timestamp) and shall constitute evidence of execution admissible in any proceedings. On full execution, both parties shall be entitled to receive a fully-executed PDF copy of these Terms (together with any Appendices) for their records, and either party may request a fresh copy at any time.
7.4No third party shall have any right to enforce any term of these Terms under the Contracts (Rights of Third Parties) Act 1999. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. No failure or delay by either party in exercising any right under these Terms shall operate as a waiver of that right.
Appendix
Appendix A · Remuneration
Cohort-specific performance rewards for the 21-working-day Engagement Period. The Partner is eligible for three phase-linked rewards (Momentum, Conversion, Revenue) plus an additional revenue commission on paid deals attributed to them. Each phase reward pays out on a 50% pro-rata scale · £0 below 50% of target, from half-value at 50% up to full value at 100% or above. All amounts under this Appendix are paid in accordance with clause 3.3 of these Terms.
A.1Phase 1 · Momentum · The Momentum reward incentivises consistent outbound activity across the 21 working days of the cohort. The full-value reward is £1,000.
A.2The Partner qualifies for the Momentum reward when, on average across the 21 working days, they achieve either (a) 100 outbound calls per working day, or (b) 10 discovery-call appointments per working day. Achievement is measured on activity captured in the B2B Growth Hub portal · any activity not logged in the portal does not count towards the target.
A.3The Momentum qualifying threshold is 50% of the daily target above (so, on average across the cohort, 50 calls per working day, or 5 discovery-call appointments per working day). Below the qualifying threshold no Momentum reward is payable. From 50% to 100% of target the reward scales linearly · £500 at 50%, £750 at 75%, and the full £1,000 at 100% or above.
A.4Phase 2 · Conversion · The Conversion reward incentivises turning outbound activity into real, executed qualified meetings. The full-value reward is £1,000.
A.5The Partner qualifies for the Conversion reward when, on average across the 21 working days, they successfully execute (book AND attend to completion) at least 10 discovery calls or bridge calls per working day. Achievement is measured on completed appointments logged in the B2B Growth Hub portal · booked appointments that are cancelled, no-shown by the Partner, or not logged do not count towards the target.
A.6The Conversion qualifying threshold is 50% of the daily target above (5 executed discovery or bridge calls per working day on average). Below the qualifying threshold no Conversion reward is payable. From 50% to 100% of target the reward scales linearly · £500 at 50%, £750 at 75%, and the full £1,000 at 100% or above.
A.7Phase 3 · Revenue · The Revenue reward incentivises turning qualified conversations into paid revenue for the Company. The full-value reward is £1,000.
A.8The Partner qualifies for the Revenue reward when the total revenue generated for the Company through deals attributed to the Partner during the 21-working-day cohort reaches at least £100,000. Revenue is measured on amounts actually paid to and received by the Company, not on invoiced or contracted amounts. Attribution rules are set out in the Company's tracking policy shared with the Partner at the start of the Engagement Period.
A.9The Revenue qualifying threshold is 50% of the target above (£50,000). Below the qualifying threshold no Revenue reward is payable. From 50% to 100% of target the reward scales linearly · £500 at 50%, £750 at 75%, and the full £1,000 at 100% or above. Revenue exceeding 100% of target does not increase the pro-rata reward beyond £1,000, but the commission in clause A.10 continues to apply to the full amount paid.
A.10In addition to the three phase-linked rewards above, at the end of the 21-working-day cohort the Partner shall receive a commission of 10% of every amount actually paid to and received by the Company in respect of deals attributed to the Partner during the Engagement Period. This commission is uncapped and is payable whether or not the pro-rata Revenue reward in A.9 has been fully earned.
A.11All amounts payable under this Appendix (the three phase rewards A.1-A.9 and the commission in A.10) are calculated at the end of the 21-working-day cohort and paid in accordance with clause 3.3 of these Terms · within thirty (30) days of the end of the calendar month in which the cohort concludes. Where the Engagement is terminated part-way through the cohort, the Partner remains entitled to any amounts earned on the activity, appointments, revenue and paid deals attributed to them up to the termination date, calculated using the same pro-rata scales and commission rate above.
Appendix
Appendix B · Individual Performance Bonus
A progressive tiered commission model that rewards Sales Consultants for exceeding their monthly sales target. The Base Sales Commission (5%) and 21-Day Challenge Commission (5%) — a combined total of 10% — apply to all eligible sales up to 100% of target. Enhanced rates apply only to the additional revenue generated within each higher performance band, and are not retrospective on revenue in lower bands.
B.1This Appendix applies to the Partner in respect of any calendar month during and after the Engagement Period in which they hold an ongoing Sales Consultant role with the Company. The monthly sales target for the purposes of this Appendix is £100,000, subject to review by the Company from time to time.
B.2The Base Sales Commission (5%) and 21-Day Challenge Commission (5%) — a combined total of 10% — shall apply to all eligible sales up to 100% of the Partner's monthly sales target.
B.3Where the Partner exceeds their monthly sales target, an enhanced commission rate shall apply only to the additional revenue generated within each performance band. The enhanced commission is not retrospective and does not apply to revenue earned in lower bands. The enhanced commission rates are:
B.3.1Revenue achieved between 100% and 125% of target: 15%.
B.3.2Revenue achieved between 125% and 150% of target: 17.5%.
B.3.3Revenue achieved between 150% and 200% of target: 20%.
B.3.4Revenue achieved above 200% of target: 25%.
B.4Worked example · assuming a monthly target of £100,000, a Partner achieving 150% of target (£150,000) would earn a total commission of £18,125, calculated as follows: (a) 10% of £100,000 = £10,000; plus (b) 15% of the £25,000 revenue between 100% and 125% of target = £3,750; plus (c) 17.5% of the £25,000 revenue between 125% and 150% of target = £4,375. Illustrative only · actual entitlement depends on revenue actually paid to and received by the Company in the relevant month.
B.5This Appendix B Individual Performance Bonus is separate from and additional to the phase-linked rewards and cohort commission in Appendix A. Amounts under this Appendix are calculated at the end of each calendar month and paid in accordance with clause 3.3 of these Terms (within thirty (30) days of month-end). Attribution rules and revenue-recognition criteria mirror those in Appendix A · commission is paid only on amounts actually paid to and received by the Company.
Appendix
Appendix C · Team Performance Bonus
A progressive team-wide bonus pool that rewards collective achievement. The bonus activates only once the sales team's total monthly revenue reaches the activation threshold. Once activated, the bonus is calculated only on the additional revenue generated within each £100,000 performance band above the threshold, with higher rates applying only to revenue within that band (not retrospectively to lower bands).
C.1This Appendix applies to the Partner in respect of any calendar month during and after the Engagement Period in which they are an eligible member of the Company's sales team. Eligibility is subject to compliance with Company policies, attendance, quality-assurance standards, and any other criteria determined by the Company.
C.2The Team Performance Bonus is activated only when the sales team's total monthly sales revenue reaches at least £600,000 (the "Activation Threshold"). Below the Activation Threshold no Team Performance Bonus is payable. Above it, the bonus pool is calculated on the additional revenue within each performance band as set out in C.3 below.
C.3Once the Activation Threshold has been reached, the Team Bonus Pool shall be calculated on a progressive basis. The applicable rate applies only to the additional revenue generated within each performance band · higher rates are not retrospective and do not apply to revenue in lower bands.
C.3.12% on the first £100,000 generated above £600,000 (i.e. team revenue between £600,000 and £700,000).
C.3.23% on the next £100,000 generated above £700,000 (team revenue between £700,000 and £800,000).
C.3.35% on the next £100,000 generated above £800,000 (team revenue between £800,000 and £900,000).
C.3.48% on the next £100,000 generated above £900,000 (team revenue between £900,000 and £1,000,000).
C.3.515% on all additional team revenue generated above £1,000,000. This band is uncapped.
C.4Worked example · assuming the Activation Threshold of £600,000 and team monthly revenue of £850,000, the Team Bonus Pool for that month would be £7,500, calculated as follows: (a) 2% of £100,000 = £2,000; plus (b) 3% of £100,000 = £3,000; plus (c) 5% of £50,000 (the remaining half-band) = £2,500. Illustrative only.
C.5The Team Bonus Pool calculated under this Appendix shall be distributed amongst eligible team members in accordance with the Company's Team Bonus Distribution Policy, subject to individual eligibility criteria in C.1. The Company reserves the right to withhold or adjust any individual Partner's share of the pool where those criteria are not met, without affecting the calculation of the pool itself.
C.6This Appendix C Team Performance Bonus is separate from and additional to the phase-linked rewards and cohort commission in Appendix A and the Individual Performance Bonus in Appendix B. Amounts under this Appendix are calculated at the end of each calendar month and paid in accordance with clause 3.3 of these Terms (within thirty (30) days of month-end). Revenue is measured on amounts actually paid to and received by the Company, in line with the attribution and recognition rules used elsewhere in these Terms.
